ARTICLE I Name of Organization Section 1 The name of this organization shall be the Chillicothe Youth Baseball League. (CYBL) ARTICLE II Purpose Section 1 This organization is formed for the purpose of bettering existing conditions as they affect players in the CYBL Section 2 CYBL advocates the rigid enforcement of all rules and responsibilities of the players, coaches, managers, and parents as set forth. Section 3 It shall be the duty of this organization to see that all rules and responsibilities affecting the operation of the park and the league are upheld. ARTICLE III Amendments Section 1 Alterations and amendments to this constitution and By-Laws shall be presented to the Board of Directors at a regular Meeting. They can be approved by a simple majority vote of the members present. There must be 6 members present. ARTICLE IV Membership Section 1 Regular members- the managers of each team shall be a member of the Board of Directors. Section 2 An outgoing manager will recommend his successor at a regular meeting. A two-thirds majority vote of the other members present shall be needed to accept a new manager. ARTICLE V Board of Directors Section 1 The Board of Directors shall be the governing body of the CYBL. Each team participating in the league shall have one manager and he will be the representative for that team on the Board. Section 2 From the Board of Directors shall be elected a President, Vise-President, Secretary, and Treasure. Section 3 If one of the above offices cannot be filled from the managers, then another person can be substituted for the office. If more than one name is submitted, an election will be held to fill that office. A simple majority vote by the managers presented will elect that person. Section 4 The above elected person will become a member of the Board of Directors and hall all the power thereof. ARTICLE VI Meetings Section 1 Meetings will be called as needed. During the off season (August-March) they will be at least once month. Section 2 During the regular season, meetings will be held as often as needed, but not less than twice each month. Section 3 A quorum for legal transactions of business will be six Board members, including the President. Section 4 All meetings will be open to all coaches and parents of players of the CYBL. Section 5 All meetings will be conducted in a professional manner. When one person has the floor all member s are required to listen to his points. After the speaker has spoken all Board of directors will be given a chance to voice their opinion, starting with the person to the right of the speaker. After the Board has made their opinions the board will hear the opinions of anyone else. ARTICLE VII Election of Officers Section 1 The right to be a candidate for any office is hereby limited to a manager of any team in the CYBL. Refer to Article V. Section 2 Nomination of candidates for offices will come from the floor of the first meeting held after the season ends. Section 3 All nominees for the office shall be present when their names are submitted or the person submitting the name shall have a prior knowledge that the person will accept the nomination. Section 4 After the nominations are closed, a vote will be taken to elect the new officers. The candidate receiving the highest number of votes shall be declared elected. Section 5 The terms of the office shall be for one year or until the fist meeting after the conclusion of the following season. ARTICLE VIII Officers and Their Duties Section 1 Board of Directors shall consist of 1 manager from each team represented by the CYBL, 3 elected commissioners and any other office holder that might not be a manger. They shall have control and management of the business, funds and property of the CYBL. The Board may proclaim and enforce rules governing the use of any property and have full power to act on all matters affecting the affairs and well being of the CYBL. Section 2 President-The President shall have charge and preside at all meetings of the CYBL and shall perform all duties incidental to such office and such other duties as may be required of him by the Board of Directors. It shall be his duty to open and close all meetings of the CYBL . He shall appoint the chairman and other members of all committees, in case of tie, have the deciding vote on any questions, except elections. Section 3 Vice President- The V.P. shall perform all the duties of the President in case of the Presidents absence, shall perform all other duties as may be required of him by the President of the CYBL. Section 4 Secretary-The Secretary shall keep an accurate record of all transitions at meetings. Before the next meeting he shall pass out copies of the minutes of the prior meeting for approval, shall keep all reports, letters, petitions, appeals, claims, and other communications sent or received by the CYBL and retain a copy of the same, shall assist in the business of the CYBL and perform all other duties as may be required by the Presidents of the CYLB. Section 5 Treasurer- The treasurer shall keep complete and accurate records of all monies received and spent by the CYBL, shall turn over the ledger at the end of the year to the CYBL, accountant so that tax preparations can be completed, shall furnish to the Board, on a monthly basis, April-August, a written report of all monies spent and collected, shall sign all checks drawn against the funds of the CYBL, shall prepare, publish, and post a budget for the current year of the CYBL, shall perform all other duties as may be required by the President of the CYBL. Section 6 Commissioners-The Commissioners shall consist of 3 people who are involved with the CYBL. They shall serve as members of the Board of Directors. They shall perform all other duties as directed by the President of the CYBL. There cannot be more than 1 Commissioner per team.
