ARTICLE 1 NAME
SECTION 1 The name of this organization shall be the Nevada B.A.S.S. Federation Nation Incorporated.
SECTION 2 The address of the Federation Nation will be 3305 Tiara Point Circle Las Vegas Nevada 89146.
ARTICLE 2 PURPOSE AND OBJECTIVE
SECTION 1 The purpose and objectives of this organization are as follows:
A) To serve as an organization in which the individual chapters in the State of Nevada affiliated with B.A.S.S. (Bass Anglers Sportsman’s Society) may unite to the benefit of the common interests and causes.
B) To act as an agency to assist member chapters in whatever manner deemed practical and beneficial. The Federation shall not infringe upon member chapters contrary to their autonomous entity.
C) To act as an Agency between B.A.S.S. Florida and member chapters of the federation in whatever matters deemed practical, necessary, and beneficial to both parties.
D) To assist and cooperate with the Nevada Department of Wildlife and its agencies in matters mutually beneficial.
E) To become involved in such matters which may or may not be consistent with the goals of the B.A.S.S. and the federation which may arise in a national, state, or local level.
F) To preserve and further the sport of bass angling by actively becoming engaged in the areas of environment, pollution, Conservation and youth participation.
G) To promote, organize and conduct an annual Nevada B.A.S.S. Chapter Federation Nation Tournament or tournaments in a manner consistent with the format and rules of the B.A.S.S. tournament to determine the members of a team to represent the State of Nevada at any Divisional of the National B.A.S.S. Chapter Federation Nation tournaments.
H) To promote and facilitate the formation of additional Bass Clubs to become affiliated with B.A.S.S. and the Federation Nation.
I) To operate as an incorporated association organized for these purposes and not for the purpose of profit.
ARTICLE 3 MEMBERSHIP
SECTION 1 Any club whose principal meeting place is within the State of Nevada and whichis duly affiliated with B.A.S.S. may affiliate with the State Federation and support it’s conservation andyouth programs. Any additional requirements that the State Federation establishes for chapters, suchas membership, dues, attendance at meetings, etc., would be necessary for the chapter to participatein the State Federation Qualifying Tournament(s), and any other Federation-sponsored tournaments orevents.
SECTION 2 Individual members of such chapters automatically become members of the Federation upon receipt of the chapters roster and federation dues. To participate in the State Qualifier, Chapter members must participate in fifty percent (50%) of its chapters functions. Each chapter is required to provide the Vice President with its schedule, results and or its meeting attendance upon request. Failure to do so may make the Chapter not in good standing.
SECTION 3 Each member chapter shall be represented by three (3) of its members who mustbe members of B.A.S.S. and the Federation Nation. Each member shall be entitled to vote at federation meetings. Officers representing their respective chapters will count as one of three (3) votes, with the exception of the president who will vote only in the case of a tie. This does not preclude the attendance of additionalmembers of the same chapter.
SECTION 4 Should a member chapter of the federation decide to drop it’s membership, it maydo so at any time by written request.
SECTION 5 Any member chapter may be dropped from membership in the federation forreasons which are not consistent with the policies of the Federation Nation. Such actions would require atwo-thirds vote of the chapter representatives at a duly called meeting.
SECTION 6 If a Chapter is declared a Chapter NOT in good standing, its members will NOT beeligible to compete for a position on the Nevada Bass Federation Nation State Team.
ARTICLE 4 DUES AND MONEY
SECTION 1 The decision to assess member chapter dues may be made or amended by a two-thirds(2/3) majority vote of those representatives present at the next general meeting after a thirty (30) daywritten notice has been issued to the federation member chapters. The current State Fee is fifteen dollars ($15.00) Members who don’t pay the state fee will not be able to participate in State events.
SECTION 2 The federation may accept moneys from B.A.S.S. using said moneys asindicated by the national organization.
SECTION 3 Moneys may be derived from special projects which may be sponsored by thisorganization. Such project must be consistent with the goals and policies of the organization andapproved by the Board of Directors of the federation.
SECTION 4 Moneys in excess of the costs in the operation of federation tournaments shall revertto the general fund.
SECTION 5 Under no circumstances shall the federation accept monetary, or in kindassistance from individuals, business, corporations, government agencies or any other donors, if thereis prima facia evidence that the goals of these entities are contrary to those of the federation.
SECTION 6 Dues shall be in the form of per year assessment per federation member, payable tothe federation treasurer by each of the affiliated chapter treasurers. The assessment for members isdue December 31 of the current year for active membership in the following year. The assessment formembers joining the chapter after January 1 of each year, shall be submitted to the federation treasurerwithin thirty (30) days and shall include the members name, B.A.S.S. #, with expiration date, address,phone number, and emergency contact and phone number.
SECTION 7 Federation membership and Newsletter/Website dues are due by the last calendar dayof the current year. Any chapter who has not paid assessed dues by January 31st of the next year willbe declared a Chapter NOT in good standing.
SECTION 8 Should this organization disband, and all moneys or assets remaining after allindebtedness has been satisfied shall be distributed equally among active member chapters.
ARTICLE 5 BOARD OF DIRECTORS, MANNER OF ELECTION, TERMS OF OFFICE, DUTIES
SECTION 1 The Board of Directors will be convened at least quarterly to conduct the businessof the Federation. Additional meetings will be held at the discretion of the President. The BOD shallelect by secret ballot the President, Vice-President, secretary and treasurer. The President and Treasurer will be voted in for a two (2) year term in even years and the Vice President and Secretary will be voted in for a two (two) year term in odd years. Any Officer may serve multiple terms if nominated and elected by the membership.
SECTION 2 The nominations and election for the offices of President. Vice-President, Secretaryand treasurer shall be conducted at the last scheduled board meeting of the year, with the new officersto be installed at the first meeting of the following year.
A) Eligibility for office or for member of Board of Directors
1. General –member in good standing of B.A.S.S. of an active affiliated chapter of the Federation Nation and of the Federation Nation itself as determined from time to time by the board of directors.
2. Office of President – Must have served one year on the board of directors of the Federation Nation.
3. Office of Vice President, Secretary and Treasurer – Must have served one year on the board of directors, or demonstrated active interest in the efforts of the Federation Nation.
B) VOTING All board members present at a regularly scheduled or special meeting of the board of directors shall be entitled to vote on all matters before the Board, so long as members in attendance constitute a quorum. A Quorum shall be 51% of the approved Chapters in the Nevada Bass Federation Nation .
C) TERM OF OFFICE
1. All Officers shall serve a two year term. The Vice President and Secretary shall serve two year (2) terms commencing in odd years, and the President and Treasurer shall serve two year (2) term, or such additional time necessary for a successor to be elected.
2. Any Officer may succeed him/herself in office if nominated and elected.
D) DUTIES
1. President – Preside over all meetings of the Board of Directors or special meeting of the Federation Nation. Direct all official business. Supervise all Federation Nation activities. Appoint and be an ex officio member of all standing and special committees. Be an official representative of the Federation Nation in the relationship of other organizations. Delegate such duties as may be appropriate to better serve the Federation Nation. Maintain liaison with the national B.A.S.S. Federation Nation.
2. The Vice President shall assist the President upon request. Preside in the absence of the President. Assume the office of the President if it should be vacated. Act as Nevada Bass Federation Nation Tournament Director. Should the Vice President so desire, he or she shall be responsible for recruitment of a capable person from within the Nevada Bass Federation Nation Membership to serve as the Nevada Bass Federation Nation Tournament Director. This person will be at the discretion of The Nevada Bass Federation Nation President.
3. Secretary – Record, maintain and publish all minutes of the meetings of the board. Keep all non financial books, papers, records and documents belonging tot the Federation Nation. Maintain correspondence between the Federation Nation and its affiliated chapters and with all other agencies as assigned by the president.
4. Treasurer - Keep and account for all moneys and dues. Pay all Federation Nation bill’s as approved by the board. Prepare a financial report as Part of the minutes of each meeting of the board. Develop and submit an annual budget. The treasurer must be bonded, with the bonding fee to be paid from the Nevada BASS Federation Nation general fund.
E) REMOVAL OF OFFICER
1. Any Officer may be removed from office by a quorum vote of the Board upon thirty (30) days prior notice.
ARTICLE 6 STANDING COMMITTEES
SECTION 1 Terms of office; All standing committees shall serve for one year or until a new committee is appointed. The terms of the committee shall coincide with the terms of the elected officers with the exception of the President.
SECTION 2. Youth Committee; The purpose of this committee shall be to plan, organize and implement a chapter youth project for the Federation Nation by encouraging and assisting each chapter in formation of a Youth Club, Conducting Bassmaster Casting Kids Events and any other programs that would encourage youth to participate in the sport of bass fishing and conservation. Each Chapter should have a Youth Representative that will work under the direction of the States Youth coordinator.
SECTION 3 Program Committee; The purpose of this committee shall be to organize and implement an annual awards banquet, any fund raising events approved by the board of directors, and any other events designed to expand membership of the Nevada Bass Federation Nation.
SECTION 4 Conservation Committee; The purpose of this committee is to promote conservation efforts of our natural resources and support state and national agencies conservation efforts. The Conservation director who acts as chairman of this committee is expected to attend at least one of the two National Federation meetings as a representative of the NBFN. This will be the national Championship of the Classic.
SECTION 5 Tournament Committee; The Tournament committee shall be comprised of a representative of each approved chapter, which will be the Vice-president of each chapter or his/her designated alternate and will be chaired by the Nevada Bass Federation Nation Vice President or his/her designated appointee. The committee shall be responsible for the Nevada Bass Federation Nation State Qualifying tournament and the Nevada Bass Federation Nation Junior Bassmaster Qualifying tournament. The Committee will be responsible for all tournament rules and criteria for each following year. The committee will work with the Board of Directors in obtaining permits, trophies reservations and what ever else is deemed necessary. The tournament Committee decisions are to be final.
SECTION 6 Alliance and Promotion Committee; The executive Board will be responsible and over see all Alliance, Sponsor and State Team Product. It will be up to the general membership on how to distribute the product and or the funds made off the product. The Alliance companies require President involvement and to avoid confusion as Presidents change, All Alliance products will be shipped to the Nevada Bass Federation Nation Address. No member is allowed to negotiate sponsor product or money on behalf of the Nevada Bass Federation Nation without the Express written consent of the board of directors. Any member caught profiting off the Federation Nation for his or her own personal gain will be removed as a member in good standing from the Federation Nation.
SECTION 7 Webmaster; The webmaster is responsible for updating and maintaining the Nevada Bass Federation Nation Website as directed by the Nevada Bass Federation Nation President.
ARTICLE 7 MISCELLANEOUS
SECTION 1 Anything not covered in the by-laws shall be left to the discretion of the Board of Directors.
ARTICLE 8 PARLIAMENTARY AUTHORITIES
SECTION 1 The rules contained in the Roberts Rules of Order shall govern this organization in all cases in which they are applicable and in which they are not inconsistent with these bylaws.
ARTICLE 9 AMENDING OF BY-LAWS OF CONSTITUTION
SECTION 1 These by-laws may be amended at any duly called general meeting of the chapter representatives by a quorum vote of those representatives present, providing a written notice of the proposed change has been presented not less than thirty (30) days prior to said meeting.
SECTION 2 Any amendments to these by-laws are subject to written endorsement of the Bass Anglers Sportsman’s Society.
