Monday, March 19 MAYBA Contitution and By-laws MIFFLIN AREA YOUTH BASEBALL ASSOCIATION CONSTITUTION and BY-LAWS ARTICLE I. SECTION I. The purpose of this organization shall be the establishment, promotion and maintenance of a baseball league for educating and training children residing within or a student of the Governor Mifflin School District. SECTION II. The name of the Association shall be the Mifflin Area Youth Baseball Association (MAYBA). ARTICLE II. SECTION I. Membership in MAYBA shall be available to persons over sixteen (16) years of age who are head coaches, designated assistant coaches, officers, directors, managers, umpires, league committee members, or employees of the MAYBA. ARTICLE III. SECTION I. The management of the Association shall be vested in the Board of Directors. SECTION II. The Board of Directors shall consist of the following: President, 11 Vice Presidents, Secretary, and Treasurer. SECTION III. The Board of Directors and members will meet at the discretion of the President. Meetings can be called at any time provided at least three (3) days notice is given to the Association members. ARTICLE IV. SECTION I. The elective officers of the Association shall be President, 11 Vice Presidents, Treasurer and Secretary. SECTION II. The Officers and representatives making up the Board of Directors shall be elected by the members of the June General Meeting and shall take/hold office for a term of one year. (One year is defined as October 1 of year elected until September 30 of the following year). (E.g. October 1, 1994 – September 30, 1995, etc.) or until their successors have been elected and qualified. The President, V.P. Midgets, V.P. Mites, V.P. Instructional, V.P. T-Ball, V.P. of Senior League, Treasurer, Secretary, V.P. Services, V.P. Fields & Maintenance, V.P. Umpires, V.P. Administration, V.P. Volunteers and V.P. of Volunteers-Youth shall serve no more than four consecutive terms in office. The officers shall begin their term of office on October 1 of year elected and conclude September 30 of the following year. SECTION III. The President shall preside at all meetings of the Association and of its Board of Directors and shall carry on those other responsibilities assigned to him by these By-Laws and by the Board of Directors including the appointment of necessary committees as needed. SECTION IV. A Vice President shall, during the absence or temporary incapacity of the President, perform the duties and have the power of the President. The succession will be V.P. Administration, V.P. Midgets, V.P. Mites, V.P. Instructional, V.P. T-Ball, V.P. Senior League, V.P. Services, V.P. Fields & Maintenance, V.P. Umpires,V.P. of Volunteers, and V.P. Volunteers-Youth. If any Board Member is unable to perform their duties, due to death, illness, resignation or termination (based on behavior which is detrimental to MAYBA), their office can be filled by another member of MAYBA – Appointed by a majority vote of the Board. Any new officer voted onto the Board by the Board must be re-elected by the General Membership at the June General Membership meeting. SECTION V. The vice President of Services shall be responsible for the procurement, distribution and storage of the MAYBA. equipment, uniforms and supplies. SECTION VI. The Treasurer shall receive, and is accountable for, all funds of the Association and shall make expenditures of the Association upon vote of a majority of the Board of Directors. All expenditures shall have the prior approval of the Board of Directors. All checks must be signed by the President and Treasurer. SECTION VII. The Secretary shall keep an accurate account of all the meetings of the Association and shall also keep an accurate roll of the membership, including names and addresses. The Secretary shall also update the Baseball Rules of the Association and handle the correspondence of the Association. SECTION VIII. The Vice President of Umpires shall be responsible for the recruitment, training, and scheduling of umpires for MAYBA sanctioned events, and other related duties and responsibilities assigned by the Board of Directors or President. SECTION IX. The Vice President of Volunteers and Vice President of Volunteers-Youth shall be responsible to coordinate the membership, organize fund-raising and special events, and manage volunteers. He or she shall also be authorized to establish a booster club or similar such group to assist him or her with their duties and responsibilities. ARTICLE V. SECTION I. A majority of the Board of Directors shall comprise a quorum for voting on all league matters. ARTICLE VI. SECTION I. Any member in good standing shall have the right to vote for officers and directors at the June annual meeting. ARTICLE VII. SECTION I. These By-Laws may be amended at the January meeting of the Association by a majority of the members attending. ARTICLE VIII. SECTION I. These By-Laws shall be adopted by a majority vote to the members present and voting at the time of its proposal to the members for ratification and shall be in full force and effect immediately upon their adoption. ARTICLE IX. SECTION I. The President should, at least thirty (30) days before the June annual meeting, appoint a nomination committee, consisting of three (3) members who shall make recommendations at the June annual meeting to the members for officers and directors to be elected at the June annual meeting. Nominations from the floor shall also be accepted at that meeting. ARTICLE X. SECTION I. In the event the MAYBA dissolves, all money and equipment belonging to the Association shall become the property of the G.M.I.S. P.T.A for equitable distribution to all playgrounds within the boundaries of the Governor Mifflin School District. ARTICLE XI. SECTION I. This organization is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations under section 501 (c)(3) of the Internal Revenue Code (or the corresponding section of any future Federal tax code.) No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, directors, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501 (c)(3) purposes. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of, or in opposition to, any candidate for public office. Notwithstanding any other provisions of these articles, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal income tax under Section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal tax code)or (b) by an organization, contributions to which are deductible under Section 170 (c)(2) of the Internal Revenue Code (or corresponding section of any future Federal tax code.) Upon the dissolution of this organization assets shall be distributed for one or more exempt purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code, or corresponding section of any future Federal tax code, or shall be distributed to the Federal government, or to a state or local government, for a public purpose. However, if the named recipient is not then in existence or no longer a qualified distribute, or unwilling or unable to accept the distribution, then the assets of this organization shall be distributed to a fund, foundation or corporation organized and operated exclusively for the purposes specified in Section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal Tax Code.)
