Proposal 1:

ARTICLE II 

THE ASSOCIATION 

Section 1.   Objective   To encourage superior skill development, sportsmanship and enjoyment in the game of soccer by organizing and conduction a competitive soccer program for all eligible youth.  To be non-partisan, non-political and charitable through volunteer cooperation with other civic organizations.  (Eligibility is defined by the Association and its chosen League affiliation.)

 Revision Proposal:

ARTICLE II

Section 2.   Membership   Membership shall be limited to players, parents, coaches, assistant coaches and Board Members who are eighteen years old and older.  Membership will consist of two (2) classes, individual or family.  Each class will be entitled to a membership card.  Membership shall run July 1 to June 30.

ARTICLE II

Section 3.   Dues and Player Participation Fees   After acceptance by the Association, a membership shall be considered valid upon payment of annual dues established by the Board.  Player participation fees will be established by the Board in accordance with the Bylaws and will be collected and distributed exclusively by the Treasurer.

ARTICLE II 

THE ASSOCIATION

Section 7.   Annual Special Membership Meetings 

(a)   ANNUAL MEETINGS   An annual meeting of the Association shall be held on the first Wednesday in June at such time and location as set by the Board.  The purpose of this meeting is to elect the Board Members and for consideration of reports only.  If the day fixed for the annual meeting shall be a legal holiday in the State of Ohio, such meeting shall be held on the next succeeding business day.  If the annual meeting is not held or Board Members are not elected thereat, they may be elected at a special meeting for that purpose.

Section 1.   Selection   A Nominating Committee shall be appointed by the Board.  An information sheet listing positions available and duties of each position shall be distributed to the Membership and Board by the Nominating Committee in April before elections are held.  The Nominating Committee shall be formed in February before the Annual Meeting, with the purpose of finding qualified candidates.  Each Member wishing to run for office shall return his form to the Nominating Committee no later than five (5) weeks prior to the election.

Section 9.   Action Without a Meeting   All actions, except removal of a Board Member which may be taken at a meeting of the Board, may be taken without a meeting with the majority vote in a meeting or by telephone of all the Board Members.  Such action will be entered in a minutes of the next meeting.

ARTICLE III

Section 11.   Compensation   The elected or non-appointed Board Members shall not receive any salary for their services as Board members unless they are also acting in the capacity of a head coach and/or trainer in addition to being a Board member.  Nothing shall preclude any Board Member from having dealings with the Association in any other capacity and receiving compensation.  Any such dealings will be strictly for the needs and benefit of the Association, and not create a conflict of interest.

(g)    Grant to individual Board Members the authority to spend no more than Two Hundred Dollars ($200.00) without prior Board approval for emergency operating expenses within the realm of their responsibility, which expenditure shall be ratified at the next Board meeting.

Section 1.   General Provisions   The Membership shall elect a President, Vice President / (Facilities), Secretary, Marketing Manager and Equipment Manager.  Elections of Board Members will be on alternating years so that not all of the Board will be up for election during the same year.  The President and Equipment Manager will have elections on the odd numbered years (for their two (2) year term) and the Vice President / (Facilities), Secretary and Marketing Manager will be on the even numbered years (for their two (2) year term).  There are no limits or restrictions on how many times an individual can be elected into any of the elected Board Member positions.  The Coaching Director and the Treasurer shall be appointed and approved by the Board, and will have the same voting rights as the other Board Members.  League Representatives will be appointed and approved by the Board, but will not have "Board Member" voting rights.  No Board Member shall be elected to serve in more than one capacity, and they must be a member of the Association.

Section 1.   President   The President shall be the chief executive of the Association, shall exercise supervision over the affairs of the ASSOCIATION and its Board Members, subject, however, to the control of the Board, and shall preside at all meetings of the members of the Board.  The President shall have the authority to sign all contracts, notes, and other instruments requiring his signature, and shall have all the powers and duties prescribed by Chapter 1702 of the Ohio Revised Code and such others as the Board may from time to time assign him.  The President will be responsible for supervising the creation of an operating budget for the following fiscal year.

Section 2.   Vice President / (Facilities)   The Vice President / (Facilities) shall perform such duties as are conferred upon him by this Constitution or as may from time to time be assigned to him by the Board of the President.  At the request of the President or in his absence or disability, the Vice President / (Facilities) shall perform all the duties of the President, and when so acting, shall have all the power of the President.  The authority of the Vice President is to sign in the name of the ASSOCIATION all contracts, notes and other instruments, shall be coordinate with like authority of the President.  The Vice President / (Facilities) shall assist the Treasurer in creating the operating budget for the following fiscal year in tandem with the President. In addition, the Vice President / (Facilities) and his committee, shall maintain the physical plant of the Association (fields, buildings, machinery, equipment, etc.); obtain the necessary contracts for the fields/facilities the ASSOCIATION uses to practice/play on those fields/facilities; assist in the configuration/field layouts for any practices and play for the Association; assist the President and Board in determining what new construction is needed and how this construction can be achieved; determine when fields are unplayable or designate someone to determine this in his absence.  If fields are determined to be unplayable for any scheduled game, the Vice President shall inform the League Representatives so games may be rescheduled.  He shall supervise personnel hired by the ASSOCIATION to maintain fields and equipment and furnish input to the Equipment Manager concerning equipment needs under his jurisdiction, such as goals, nets, etc.  He shall compile game and practice schedules to ensure no conflicts occur with scheduled or make-up games or practices; and shall perform such other duties as from time to time may be assigned to him by the Board.

ARTICLE V

Section 4.   Treasurer   The Treasurer shall have general supervision of all finances.  He shall receive and have in his charge all money, bills, notes, documents and similar property belonging to the ASSOCIATION, and shall do with the same as may from time to time be required by the Board.  He shall cause to be kept adequate and correct amounts of the business transactions of the ASSOCIATION, including accounts of its assets, liabilities, receipts, expenditures, profits and losses, and taxes, together with such other accounts as may be required, and upon the expiration of his term of office shall turn over to his successor or to the Board all property, books, documents and money of the ASSOCIATION in his hands.  The financial records of the ASSOCIATION shall be audited once a year by the Board which audit shall be completed before the expiration of the term of office of the Treasurer.  If requested by three (3) members of the Board, such an audit shall be performed by a Certified Public Accountant.  In addition and at any time, when requested by twenty five (25) members or more, the Board shall cause an additional audit to be made.  The Treasurer shall perform such other duties as from time to time may be assigned to him by the Board.  The Treasurer shall be in charge of creating the budget.

Section 5.   Marketing Manager   The Marketing Manager shall report all scores and ASSOCIATION status to the newspaper, provide notices about meetings and other activities to the media and shall apprise the Board of Public Relations activities in progress.  He shall promote the ASSOCIATION within the community by providing an ongoing positive P.R. program with all ASSOCIATION members and the general public either as an individual or by committee; and he shall perform such other duties as from time to time may be assigned to him by the Board.  He shall be in charge of setting up a Fall Picture Night, and shall create a newsletter to be sent to the membership at least three (3) times a year.  The newsletter shall be used to announce registration, try-outs, fund raisers, team news, and other business of the ASSOCIATION.  The Marketing Manager shall organize all fund raisers and keep accurate records of receipts and expenditures, subject to audit.  He shall interact with the Treasurer in regards to financial planning for fund raisers, and shall perform such other duties as from time to time may be assigned to him by the Board.  Also, the Marketing Manager will be responsible for the maintenance and function of the Association's website.

Section 7.   Coaching Director   The Coaching Director shall hold at least a "D" license and shall provide the opportunity to establish consistency of coaching methods within the ASSOCIATION.  He shall keep Coaches current concerning new methods and ideas.  He shall visit practices to help with and design proper technical and tactical training and establish a coaching recruitment and training program.  He shall conduct coaches meetings on a monthly basis as follows: (1)  Provide a reminder to all Coaches and League Representatives of meeting dates and times;  (2)  Provide an agenda for each meeting;  (3)  Provide the Board with minutes of each meeting;  and  (4)  Provide at least one tactical or technical coaching tip at each Coaches Meeting.  He shall oversee League Representatives and any skill development sessions planned for the Organization.  He shall also assess needs and set up programs as approved by the Board.  He shall perform such duties as from time to time may be assigned to him by the Board.

Section 7.   Coaching Director   The Coaching Director shall hold at least a "D" license and shall provide the opportunity to be responsible for establishing consistency of coaching methods within the ASSOCIATION.  He shall be responsible for hiring and developing all coaches within the Association.  The Coaching Director will provide relevant information to all coaches as it relates to player development, coaching curriculums, rule changes, formation recommendations, style of play, current events, and off season soccer options. keep Coaches current concerning new methods and ideas.  He shall visit practices to help with and design proper technical and tactical training and establish a coaching recruitment and training program.  He shall conduct coachesing meetings prior to the start of each session (fall, winter and spring) and any other time deemed necessary to promote the development of soccer in Brunswick.  The Director of Coaching shall establish at each of the required meetings the following: (1) The practice schedule for all coaches for the following season, (2) Review the expectations of every ASSOCIATION Coach, and (3) Review all Safety Precautions including equipment and Goal Safety Policies. on a monthly basis as follows: (1)  Provide a reminder to all Coaches and League Representatives of meeting dates and times;  (2)  Provide an agenda for each meeting;  (3)  Provide the Board with minutes of each meeting;  and  (4)  Provide at least one tactical or technical coaching tip at each Coaches Meeting.  He shall oversee League Representatives and any skill development sessions planned for the Organization.  He shall be responsible for all technical coordination for Tryouts and Team Formation including: (1) Developing a Tryout Plan (technical) for each night, that is developmentally appropriate for each age group, (2) Coordinating Evaluators and an evaluation plan, (3) Review Tryout results and work with Coaches to form Skill Appropriate teams, and (4) Finalize teams for the following year.  He shall also assess needs and set up programs as approved by the Board.  He shall perform such duties as from time to time may be assigned to him by the Board.  He shall also actively participate in all ASSOCIATION meetings and Soccer Governing Meetings as it pertains to player development.  Coaching Director and Director of Coaching are one in the same.

Section 8.  League Representative  The Representative(s) will be appointed by the Board.  Although not a Board Member, the League Representative(s) shall attend all Board Meetings and all required League Meetings, and Coaches Meetings as requested.  They shall report to the Board all pertinent League information, including game and tournament schedules, red cards, and any other misconduct, and shall perform such other duties as from time to time may be assigned to them by the Board.

ARTICLE V 

 DUTIES OF BOARD MEMBERS

Section 9.  Vice President  The Vice President will be appointed by the Board.  He shall perform such duties as are conferred upon him by this Constitution or as may from time to time be assigned to him by the Board or the President.  At the request of the President or in his absence or disability, the Vice President shall perform all the duties of the President, and when so acting, shall have all the power of the President.  The authority of the Vice President is to sign in the name of the ASSOCIATION all contracts, notes and other instruments, shall be coordinate with like authority of the President.  The Vice President shall assist the Treasurer in creating the operating budget for the following fiscal year in tandem with the President.  The Vice President’s main responsibility will the organizational structure of the ASSOCIATION’s in-house recreational league.  The Vice President will appoint those individuals necessary to assist him in meeting his duties regarding the recreational league, work closely with the  Directo
